the other agreements between the customer and Miracle Q-Inspect A\/S, form the contractual basis between the customer and Miracle Q-Inspect A\/S. Section 1 contains general conditions that apply to all agreements, including both delivery agreements, service agreements, and licence agreements. This can take place during a service visit at the customer's premises or via remote handling. For fault conditions registered via monitoring, the time of registration shall be calculated as the fault report. services, materials, software, or similar in connection with a Delivery, changes to this third party's prices, terms, and delivery times may result in corresponding changes in the relationship between Miracle Q-Inspect A\/S and the customer.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qVIYw\" data-uniq-id=\"rBLrg\" data-generated-css=\"brz-css-euHF3\"><\/p>\n<p style=\"background-color: transparent;\">Neither party shall be liable to the other for losses arising from circumstances of an unusual nature that prevent the performance of the Agreement, provided that these occur after the conclusion of the Agreement and are beyond the parties' control, including: industrial disputes (strikes and lockouts), fire, war, riot, civil commotion, natural disasters, currency restrictions, public seizure, import or export bans, disruption of general transport, including energy supply, and the occurrence of force majeure with relevant other than Miracle Q-Inspect A\/S) infringe a patent or other intellectual property right in Denmark.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-kAQQj\" data-uniq-id=\"w2keh\" data-generated-css=\"brz-css-etkTG\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-xIMhQ\" data-uniq-id=\"zcEtR\" data-generated-css=\"brz-css-eimeN\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S shall join the proceedings and reimburse the customer for the costs of the case, as well as any damages the customer may be awarded, provided that 1) the customer immediately notifies Miracle Q-Inspect A\/S of the case in writing, and 2) Miracle Q-Inspect A\/S alone has control of the conduct of the case and all negotiations regarding the settlement or compromise of the case.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qowu4\" data-uniq-id=\"ahqkz\" data-generated-css=\"brz-css-c7H9v\"><\/p>\n<p class=\"brz-tp-lg-paragraph However, this does not apply if the party against whom the claim is raised has entered into a moratorium or been declared bankrupt, and the claim has been notified to the supervisor\/estate before the expiry of the notification period.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-sfPlx\" data-uniq-id=\"uROY2\" data-generated-css=\"brz-css-e69XB\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-xfJZq\" data-uniq-id=\"yrRLb\" data-generated-css=\"brz-css-qRote\"><strong style=\"background-color: transparent;\">2 General Conditions for Deliveries&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-z5KZZ\" data-uniq-id=\"goOhZ\" data-generated-css=\"brz-css-cetmz\"><strong style=\"background-color: transparent;\">2.1 General&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-lScuw\" data-uniq-id=\"wF0Xi\" data-generated-css=\"brz-css-fPK1Q\"><span style=\"background-color: transparent;\">The customer is responsible for the selection of Deliverables and Programmes, as well as their use and the results thereof. To the extent that the export of Deliverables from Denmark requires permission from Danish or other authorities, it is the customer's responsibility to obtain all necessary permits for export.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-tzie0\" data-uniq-id=\"eiNjx\" data-generated-css=\"brz-css-oatxi\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-eGR9S\" data-uniq-id=\"jpiID\" data-generated-css=\"brz-css-tVgyo\"><strong style=\"background-color: transparent;\">2.2 Ownership, right of use and transfer of risk&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-p7dCD\" data-uniq-id=\"fcG6e\" data-generated-css=\"brz-css-wlG0B\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S retains title to a Delivery until full payment has been received, after which ownership will transfer to the customer.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-uGpa5\" data-uniq-id=\"st1bL\" data-generated-css=\"brz-css-fAZDj\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-edWzf\" data-uniq-id=\"lutR5\" data-generated-css=\"brz-css-ePxBA\"><span style=\"background-color: transparent;\">Customers gain usage rights to code and programmes, as stated in the \u201dGeneral Licence Conditions\u201d below. No copyrights are transferred to the customer. The risk for a Delivery passes to the customer upon Delivery. It is the customer's responsibility to verify that the components of the Delivery correspond to the Agreement. If this is not the case, it must be reported when the customer receipts for the delivery.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-x4M5p\" data-uniq-id=\"lmRsW\" data-generated-css=\"brz-css-i9dW9\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-ya0V8\" data-uniq-id=\"sU0CG\" data-generated-css=\"brz-css-wzfAj\"><strong style=\"background-color: transparent;\">2.3 Programmer&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-pdqd9\" data-uniq-id=\"wAjUR\" data-generated-css=\"brz-css-xXa2F\"><span style=\"background-color: transparent;\">Programmes are delivered in accordance with their official specifications. If Programme Service is included in the Agreement, Miracle Q-Inspect A\/S or the manufacturer will provide service on the unaltered Programmes on the terms stated herein.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-io6mX\" data-uniq-id=\"ce783\" data-generated-css=\"brz-css-dB7DJ\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-f9IOu\" data-uniq-id=\"w6ZSG\" data-generated-css=\"brz-css-dlYJe\"><strong style=\"background-color: transparent;\">2.4 Licensed internal code&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-plewf\" data-uniq-id=\"it3dZ\" data-generated-css=\"brz-css-rLJe1\"><span style=\"background-color: transparent;\">Machines utilising code will be identified in the Agreement. Miracle Q-Inspect A\/S or the manufacturer holds the intellectual property rights to the code. Miracle Q-Inspect A\/S or the manufacturer owns all copies of the code, including all copies made from these copies. The code may only be transferred to a third party with prior written consent from Miracle Q-Inspect A\/S and only together with the Machine and these license terms, provided that the third party agrees to comply with them.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-vnM74\" data-uniq-id=\"yB0ya\" data-generated-css=\"brz-css-gGyqs\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-j01zm\" data-uniq-id=\"n90al\" data-generated-css=\"brz-css-wWo7p\"><strong style=\"background-color: transparent;\">2.6 Installation&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-rj1hF\" data-uniq-id=\"u8uFv\" data-generated-css=\"brz-css-jugOd\"><span style=\"background-color: transparent;\">The customer is responsible for giving Miracle Q-Inspect A\/S access for installation so that handover can be achieved within the agreed timeframe.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-blZoj\" data-uniq-id=\"qA3QM\" data-generated-css=\"brz-css-aBgMD\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-ojoL6\" data-uniq-id=\"kurth\" data-generated-css=\"brz-css-vuQj7\"><strong style=\"background-color: transparent;\">2.7 Scope of work&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-kRf4M\" data-uniq-id=\"aciOv\" data-generated-css=\"brz-css-uU5l3\"><span style=\"background-color: transparent;\">The scope of the delivery is specified in the other agreements.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-fcuUy\" data-uniq-id=\"akXS0\" data-generated-css=\"brz-css-k8ABe\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-r3SAk\" data-uniq-id=\"bYGGx\" data-generated-css=\"brz-css-t0Ue1\"><span style=\"background-color: transparent;\">The schedule for the execution of the work \u2013 including any partial deliveries and their dates \u2013 will be shown in the other Agreements. Generally, Miracle Q-Inspect A\/S will seek to comply with all deadlines. If there are circumstances that make this impossible, Miracle Q-Inspect A\/S will inform the customer as soon as possible.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-pNIHv\" data-uniq-id=\"mjJo2\" data-generated-css=\"brz-css-vP6SW\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-fpQsu\" data-uniq-id=\"vS4JT\" data-generated-css=\"brz-css-h4EoL\"><span style=\"background-color: transparent;\">The work will, at Miracle Q-Inspect A\/S\u2019 discretion, be carried out at the customer's premises, at subcontractors' premises, and\/or at Miracle Q-Inspect A\/S' premises.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-pIZAX\" data-uniq-id=\"iG2oS\" data-generated-css=\"brz-css-f3E5p\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-zjo3a\" data-uniq-id=\"u6KjX\" data-generated-css=\"brz-css-s1ZL4\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S may charge the customer for any additional expenses resulting from delays or an increase in the scope of work due to circumstances that the parties were not aware of. Examples include cable routing\/pathways and room layout.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hF1Q9\" data-uniq-id=\"rlD_x\" data-generated-css=\"brz-css-v4H_S\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-y8Y2M\" data-uniq-id=\"bddRd\" data-generated-css=\"brz-css-gQDPV\"><strong style=\"background-color: transparent;\">2.8 Limitations of Liability&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-l0zNm\" data-uniq-id=\"nOiq6\" data-generated-css=\"brz-css-enJjN\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S\u2019 liability for Deliveries is limited as follows:&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-fHB0C\" data-uniq-id=\"gjfFt\" data-generated-css=\"brz-css-zFx0X\"><span style=\"background-color: transparent;\">Programmers, for whom Miracle Q-Inspect A\/S has not specified Program Service, are provided as-is, without service obligations from Miracle Q-Inspect A\/S.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-apgLv\" data-uniq-id=\"zsbFi\" data-generated-css=\"brz-css-vpOdZ\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-khQUH\" data-uniq-id=\"bP1vQ\" data-generated-css=\"brz-css-dau4Q\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S does not guarantee that the Programmes will function without errors or interruptions, or that all programme errors will be rectified.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qx38F\" data-uniq-id=\"tAZVq\" data-generated-css=\"brz-css-qL8UC\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-moujb\" data-uniq-id=\"pyd29\" data-generated-css=\"brz-css-cxvit\"><strong style=\"background-color: transparent;\">2.9 Delivery&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-jBiUx\" data-uniq-id=\"uI63r\" data-generated-css=\"brz-css-wbVKr\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S will, in cooperation with and with agreed assistance from the customer, carry out the Delivery described in the Agreement. Criteria for Handover and the scope of the customer's obligations will be set out in the other Agreements.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-kjH1Y\" data-uniq-id=\"dQulf\" data-generated-css=\"brz-css-vqDGV\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-xhJqc\" data-uniq-id=\"nIXD8\" data-generated-css=\"brz-css-wxTfP\"><span style=\"background-color: transparent;\">The delivery is completed if the Deliverable is without significant defects in relation to the agreed delivery criteria. If no delivery criteria have been agreed, Miracle Q-Inspect A\/S will notify the customer when the Deliverable has been Delivered. If the Customer wishes to claim defects in a Deliverable, the Customer must provide written documentation of any defects within 14 days of receiving notification of the Delivery. No later than 14 days after receiving the customer's documentation, Miracle Q-Inspect A\/S will prepare a remediation plan and suggestions for bypassing non-significant defects. Miracle Q Inspect A\/S then has a rectification period of 40 working days to carry out corrections in accordance with the prepared plan.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-bx3ak\" data-uniq-id=\"gODBV\" data-generated-css=\"brz-css-nvRrF\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-drnDn\" data-uniq-id=\"grOZs\" data-generated-css=\"brz-css-iIgEB\"><span style=\"background-color: transparent;\">If the customer puts the Delivery into use, Miracle Q-Inspect A\/S is entitled to consider the Handover as completed.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-caB21\" data-uniq-id=\"wIdMc\" data-generated-css=\"brz-css-t6H9m\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-paDyA\" data-uniq-id=\"pC5Nw\" data-generated-css=\"brz-css-rFjiH\"><span style=\"background-color: transparent;\">If a handover is not completed on time, Miracle Q-Inspect A\/S has a remedial period of 40 working days. The remedial period is calculated from the agreed handover date. If the handover cannot be completed within the remedial period, the customer is entitled to terminate the Agreement, whereupon the customer shall return everything received under the Agreement, and Miracle Q-Inspect A\/S shall refund all amounts paid by the customer under the Agreement. If the customer chooses not to terminate the Agreement despite the lack of handover, Miracle Q-Inspect A\/S is entitled to consider the handover as completed, in return for giving the customer a proportionate reduction in the agreement sum.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-bDuzD\" data-uniq-id=\"bcii_\" data-generated-css=\"brz-css-o6Bf6\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-rcBzh\" data-uniq-id=\"jB7Pn\" data-generated-css=\"brz-css-n_e30\"><strong style=\"background-color: transparent;\">2.10 Payment&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-budi6\" data-uniq-id=\"b804W\" data-generated-css=\"brz-css-ondS3\"><span style=\"background-color: transparent;\">The Agreement specifies whether the Supply is to be paid for on an ongoing basis or whether the Supply is to be carried out at a fixed price. To the extent otherwise agreed, the following provisions shall apply:&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-yzwuw\" data-uniq-id=\"fcWQE\" data-generated-css=\"brz-css-eovsl\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hTIWx\" data-uniq-id=\"a7NQS\" data-generated-css=\"brz-css-dbKmE\"><span style=\"background-color: transparent;\">Running payment&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-ghu8M\" data-uniq-id=\"mP9Uf\" data-generated-css=\"brz-css-tlMGZ\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S will invoice on a running monthly basis for work carried out, materials, transport, and any necessary accommodation.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-u3zSF\" data-uniq-id=\"rqKvm\" data-generated-css=\"brz-css-iLOHb\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-av2M1\" data-uniq-id=\"lHdO3\" data-generated-css=\"brz-css-em_Dc\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S reserves the right to amend prices due to changes in supplier prices and unforeseen additional work. The stated prices are Miracle Q-Inspect A\/S's selling prices based on the current exchange rate.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-dYYgk\" data-uniq-id=\"mFIBr\" data-generated-css=\"brz-css-r2_9z\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hOGyh\" data-uniq-id=\"sg8RD\" data-generated-css=\"brz-css-qGrc9\"><span style=\"background-color: transparent;\">We reserve the right to currency fluctuations on goods deliveries purchased in foreign currency.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-mUVDh\" data-uniq-id=\"wb8Yg\" data-generated-css=\"brz-css-oAb8f\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hFrLM\" data-uniq-id=\"vTVni\" data-generated-css=\"brz-css-wZYlV\"><span style=\"background-color: transparent;\">There may be several payment terms agreed, which will be stated in the Agreement if so.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-mtZqa\" data-uniq-id=\"bjuXV\" data-generated-css=\"brz-css-iCflE\"><span style=\"background-color: transparent;\">&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qHzNS\" data-uniq-id=\"fF7oA\" data-generated-css=\"brz-css-efKwx\"><span style=\"background-color: transparent;\">Payment terms:&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-e_tPN\" data-uniq-id=\"miwgO\" data-generated-css=\"brz-css-yOcke\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S\u2019 invoices must be paid within 30 days of the invoice date.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qgBle\" data-uniq-id=\"v3WHx\" data-generated-css=\"brz-css-tpcNN\"><span style=\"background-color: transparent;\">In cases of late payment, the customer is considered to be in material breach of contract, and Miracle Q-Inspect A\/S is entitled to interest on the outstanding amount at a rate of 1.5% per month or part thereof, calculated from the due date. Furthermore, Miracle Q-Inspect A\/S reserves the right to charge fees for payment demands and reminders.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-en3wo\" data-uniq-id=\"cQl1c\" data-generated-css=\"brz-css-mrlfU\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-aHnR3\" data-uniq-id=\"zIcIR\" data-generated-css=\"brz-css-kKyHG\"><strong style=\"background-color: transparent;\">2.11 Personnel and subcontractors&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-oB8dq\" data-uniq-id=\"mltof\" data-generated-css=\"brz-css-oL4H0\"><span style=\"background-color: transparent;\">Each party shall appoint a person authorised to make decisions regarding the daily management, supervision, and control of their own personnel. Miracle Q-Inspect A\/S shall be entitled to have parts of its obligations performed by subcontractors.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-keaUD\" data-uniq-id=\"e_GVM\" data-generated-css=\"brz-css-upbcl\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-njXJI\" data-uniq-id=\"aIreE\" data-generated-css=\"brz-css-eyipV\"><strong style=\"background-color: transparent;\">2.12 Confidential Information&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-npucc\" data-uniq-id=\"kls_D\" data-generated-css=\"brz-css-euNRW\"><span style=\"background-color: transparent;\">The parties agree not to disclose information and to observe confidentiality regarding the Agreement and its contents. Information otherwise exchanged by the parties is not confidential, unless otherwise specified in the Agreement.<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-cqdas\" data-uniq-id=\"cz5jB\" data-generated-css=\"brz-css-wrHN8\"><strong style=\"background-color: transparent;\">2.13 Rights to Programmes and Materials&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-w_teJ\" data-uniq-id=\"eOmS1\" data-generated-css=\"brz-css-xNO9t\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-utc6B\" data-uniq-id=\"qH7dx\" data-generated-css=\"brz-css-cSnhv\"><span style=\"background-color: transparent;\">Customers obtain a time-limited, non-exclusive, non-transferable right to use the Software, Documentation, and Materials developed under this Agreement. Miracle Q-Inspect A\/S and\/or third parties retain ownership, patent, and copyright to Software and Materials not marked as \u201dcustomer's copyright and ownership\u201d in the Agreement. For customers to obtain more than a right of use to Materials or Software, it is a condition that they have been specially developed for the customer. Customisations to existing Software or Materials cannot be considered specially developed.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-e8ry_\" data-uniq-id=\"qF_wV\" data-generated-css=\"brz-css-kb2P2\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-a0YTR\" data-uniq-id=\"vDfJh\" data-generated-css=\"brz-css-ls_9t\"><span style=\"background-color: transparent;\">If development or processing of Programmes and\/or Materials is based on or derived from Programmes and\/or Materials provided by the customer, it is the customer's responsibility to ensure that the development or processing does not infringe the rights of third parties.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-mdXlm\" data-uniq-id=\"pnyCw\" data-generated-css=\"brz-css-zCPPa\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-c1mr8\" data-uniq-id=\"wcrQG\" data-generated-css=\"brz-css-dZ10b\"><strong style=\"background-color: transparent;\">2.14 Miracle Q-Inspect A\/S's Rights&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-dBn5O\" data-uniq-id=\"i25xT\" data-generated-css=\"brz-css-yNayr\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S has the right to design and\/or develop Programmes and Materials based on Programmes and Materials covered by the Agreement, and for which the customer has acquired ownership and copyright under the Agreement.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-sbL9v\" data-uniq-id=\"qaewo\" data-generated-css=\"brz-css-uTVPy\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-uWMzk\" data-uniq-id=\"kjPHK\" data-generated-css=\"brz-css-chCfY\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S may freely dispose of such new material.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-jeGcW\" data-uniq-id=\"f6laR\" data-generated-css=\"brz-css-hXYks\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-k5xNj\" data-uniq-id=\"uUpib\" data-generated-css=\"brz-css-iTiU1\"><strong style=\"background-color: transparent;\">2.15 Common rights&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-kkBns\" data-uniq-id=\"tWEc0\" data-generated-css=\"brz-css-s6PyI\"><span style=\"background-color: transparent;\">Ideas, concepts, know-how and techniques, developed or provided by one or both parties during the Agreement, each party shall have the right to use freely.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-ynb0b\" data-uniq-id=\"oZcV2\" data-generated-css=\"brz-css-yvqLa\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-o4Cw7\" data-uniq-id=\"dESaf\" data-generated-css=\"brz-css-uiCVu\"><strong style=\"background-color: transparent;\">2.16 Inventions&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-iJHqz\" data-uniq-id=\"xohEp\" data-generated-css=\"brz-css-bdbHm\"><span style=\"background-color: transparent;\">For inventions made under the Agreement and for which a patent is sought, all rights shall accrue to Miracle Q-Inspect A\/S.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-wcpgu\" data-uniq-id=\"zqQPX\" data-generated-css=\"brz-css-bk1M0\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-rEDYU\" data-uniq-id=\"eUm2Z\" data-generated-css=\"brz-css-sJHRX\"><strong style=\"background-color: transparent;\">2.17 Methods&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-tPFFx\" data-uniq-id=\"cqKg6\" data-generated-css=\"brz-css-mEY33\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S employs methods in design and development that are appropriate and in line with industry best practice.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-dUiRX\" data-uniq-id=\"aOrog\" data-generated-css=\"brz-css-aCO5R\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-dBJ62\" data-uniq-id=\"joKNI\" data-generated-css=\"brz-css-zO4b7\"><strong style=\"background-color: transparent;\">2.18 Customer's commitments and responsibilities&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hX5vF\" data-uniq-id=\"jYKWF\" data-generated-css=\"brz-css-uvwlZ\"><span style=\"background-color: transparent;\">The customer is responsible for, at no cost to Miracle Q-Inspect A\/S:&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-trlvH\" data-uniq-id=\"fmDz8\" data-generated-css=\"brz-css-oHUfQ\"><span style=\"background-color: transparent;\">&#8211; The customer further agrees that the sole responsibility for regularly backing up existing data to a secure location lies with the customer.<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-yXrGV\" data-uniq-id=\"oK5Vy\" data-generated-css=\"brz-css-cnTNf\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qrcKb\" data-uniq-id=\"lKDlW\" data-generated-css=\"brz-css-bvlrF\"><strong style=\"background-color: transparent;\">3 General terms of service&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-fACsu\" data-uniq-id=\"zvPpA\" data-generated-css=\"brz-css-fUhBH\"><strong style=\"background-color: transparent;\">3.1 General&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-xo5wn\" data-uniq-id=\"n911k\" data-generated-css=\"brz-css-rsmYN\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S provides a service to bring or keep Products in good condition or bring them back into good condition. The service is provided on the specified Product at the agreed address within the Service hours. The Service Agreement entails that defects in the Product are remedied by Miracle Q-Inspect A\/S or another repairer appointed by Miracle Q-Inspect A\/S. Remediation may be carried out and completed via Miracle Q-Inspect A\/S\u2019 Service Centre or directly at the installation address at Miracle Q-Inspect A\/S\u2019 discretion. The remediation may be carried out by replacing the Product or parts thereof.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-sNqgO\" data-uniq-id=\"brPIY\" data-generated-css=\"brz-css-v9SH_\"><\/p>\n<p class=\"ql-align-justify brz-tp-lg-paragraph brz-css-fT_Li\" data-uniq-id=\"nKGtD\" data-generated-css=\"brz-css-fHOhE\"><span style=\"background-color: transparent;\">If technically possible and stated in the Agreement, the Product's operating status will be monitored by Miracle Q-Inspect A\/S. Abnormal conditions identified on the Product will be continuously recorded. Rectification must be carried out in such a way that the Product is brought into a satisfactory condition relative to the Product's age, previous use, and other standards.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-iGQcD\" data-uniq-id=\"ucuxP\" data-generated-css=\"brz-css-kgfra\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-h0Dna\" data-uniq-id=\"gNf_W\" data-generated-css=\"brz-css-a5dnI\"><span style=\"background-color: transparent;\">It must be agreed explicitly and in writing between the parties if the Agreement is to cover the following:&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-jTG3w\" data-uniq-id=\"z2MkI\" data-generated-css=\"brz-css-y5TUm\"><span style=\"background-color: transparent;\">&#8211; service for\u00e5rsaget af forkert brug eller uegnet installationsmilj\u00f8,&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-x5YkG\" data-uniq-id=\"doJP1\" data-generated-css=\"brz-css-chD9d\"><span style=\"background-color: transparent;\">&#8211; service p\u00e5 Programmer: operativsystemer, databaser og andet&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-olsju\" data-uniq-id=\"jZmDT\" data-generated-css=\"brz-css-w7Nij\"><span style=\"background-color: transparent;\">&#8211; forstyrrelser, der skyldes, at Produktet er fejldimensioneret, fejlprogrammeret el. lign., samt forstyrrelser, som er&nbsp;rent midlertidige eller som kan henf\u00f8res til forhold udefra (herunder f.eks. str\u00f8msvigt, nedbrud\/forstyrrelser af&nbsp;transmissionsveje eller kredsl\u00f8b), og &#8211; service foranlediget af samvirke med \u00f8vrige Produkter, Materialer og Programmer, der ikke er godkendt af Miracle Q-Inspect A\/S.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-wINvp\" data-uniq-id=\"lJLpg\" data-generated-css=\"brz-css-uqqJg\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-znUES\" data-uniq-id=\"qcG69\" data-generated-css=\"brz-css-vUAwj\"><span style=\"background-color: transparent;\">If a fault is due to transmission connections or equipment not covered by the service agreement, including interference in or originating from public telephone networks, the customer is obliged to pay remuneration to Miracle Q-Inspect A\/S.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-bVeBA\" data-uniq-id=\"vV7I8\" data-generated-css=\"brz-css-i29S2\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-eqlf5\" data-uniq-id=\"rjP11\" data-generated-css=\"brz-css-neYfP\"><span style=\"background-color: transparent;\">If Miracle Q-Inspect A\/S's maintenance or troubleshooting at the customer's premises is caused or otherwise hindered by:&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-akLXH\" data-uniq-id=\"uzyFQ\" data-generated-css=\"brz-css-b6dCC\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-uUxW1\" data-uniq-id=\"rf1lI\" data-generated-css=\"brz-css-g97Co\"><span style=\"background-color: transparent;\">&#8211; tyveri, h\u00e6rv\u00e6rk, lynnedslag, oversp\u00e6nding, brand, vandskade eller andre uheld eller ulykker,&nbsp;&#8211; indgreb i Produktet, foretaget af andre end Miracle Q-Inspect A\/S eller en af Miracle Q-Inspect A\/S udpeget&nbsp;reparat\u00f8r, mangelfuld vedligeholdelse eller fejlagtig anvendelse af Produktet, &#8211; manglende iagttagelse af milj\u00f8krav&nbsp;eller andre relevante forskrifter, og&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-t4Gcv\" data-uniq-id=\"bAgyM\" data-generated-css=\"brz-css-c3yXP\"><span style=\"background-color: transparent;\">&#8211; \u00f8vrige forhold hos kunden, f.eks. manglende overholdelse af kundens forpligtelser, har Miracle Q-Inspect A\/S ret til&nbsp;at fakturere kunden for arbejde, Materialer og k\u00f8rselsudgifter o. lign. omkostninger i henhold til Miracle Q-Inspect A\/S\u2019 til enhver tid g\u00e6ldende priser. Miracle Q-Inspect A\/S does not guarantee the results of Program Service or that all program errors will be corrected.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-pQUvj\" data-uniq-id=\"px4F4\" data-generated-css=\"brz-css-wcyyP\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-c2x5d\" data-uniq-id=\"o_c80\" data-generated-css=\"brz-css-ziPa3\"><span style=\"background-color: transparent;\">In connection with errors that have arisen as a result of the installation of programmes or programme changes, Miracle Q-Inspect A\/S provides assistance according to Miracle Q-Inspect A\/S\u2019 prices applicable at any given time.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-zZsNe\" data-uniq-id=\"irReC\" data-generated-css=\"brz-css-nadFx\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-ckd88\" data-uniq-id=\"bbNH1\" data-generated-css=\"brz-css-khwZH\"><strong style=\"background-color: transparent;\">3.2 Programme service&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-kzscm\" data-uniq-id=\"dZIJo\" data-generated-css=\"brz-css-coaxq\"><strong style=\"background-color: transparent;\">Programmer&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-y9jrU\" data-uniq-id=\"iFjTJ\" data-generated-css=\"brz-css-bpK2c\"><span style=\"background-color: transparent;\">For the Programs listed in the service agreement, Miracle Q-Inspect A\/S shall be responsible for problem delimitation and problem diagnosis. Miracle Q-Inspect A\/S will, on behalf of the customer, report errors to the program supplier and act as the customer's point of contact with the supplier. Responses to error reporting may be the supplier's notification of a) how the error is corrected, b) limitations in use, or c) how the error is bypassed. When Miracle Q-Inspect A\/S or the customer receives corrections or updates from the supplier, Miracle Q-Inspect A\/S will perform the corrections\/updates in agreement with the customer.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-xxepa\" data-uniq-id=\"duMrx\" data-generated-css=\"brz-css-lyHh_\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-kBGVI\" data-uniq-id=\"vqMuQ\" data-generated-css=\"brz-css-z53rm\"><strong style=\"background-color: transparent;\">Customisations made by Miracle Q-Inspect A\/S&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qF8Pq\" data-uniq-id=\"e2SI1\" data-generated-css=\"brz-css-k4ZVc\"><span style=\"background-color: transparent;\">In the event of errors in the customisations made by Miracle Q-Inspect A\/S, Miracle Q-Inspect A\/S shall rectify such errors as well as any associated documentation.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-g86ob\" data-uniq-id=\"pC3Hm\" data-generated-css=\"brz-css-xKNwB\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-b_l1W\" data-uniq-id=\"n61Pb\" data-generated-css=\"brz-css-bTWMY\"><strong style=\"background-color: transparent;\">Customer customisations made by the customer&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-gEQ4G\" data-uniq-id=\"hdmPj\" data-generated-css=\"brz-css-sbUBq\"><span style=\"background-color: transparent;\">In the event of errors in customer-made customisations, Miracle Q-Inspect A\/S shall provide assistance according to Miracle Q-Inspect A\/S\u2019 applicable prices at any given time.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-mr7uP\" data-uniq-id=\"tZv4A\" data-generated-css=\"brz-css-taNFZ\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-vhhAM\" data-uniq-id=\"cLYok\" data-generated-css=\"brz-css-oN1GD\"><strong style=\"background-color: transparent;\">3.3 Customer obligations&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-r36nA\" data-uniq-id=\"lpnPa\" data-generated-css=\"brz-css-jMgk5\"><span style=\"background-color: transparent;\">Before reporting an error, the customer must complete the troubleshooting procedures that the customer may have been provided, exercise due diligence for the protection of Software, data and other assets and, in connection with exchange, remove all storage media, modifications and connections. The customer must ensure unimpeded access for Miracle Q-Inspect A\/S\u2019 personnel or other repairer appointed by Miracle Q-Inspect A\/S. The customer must notify Miracle Q-Inspect A\/S in writing, stating their name and phone number, of who is the customer's contact person. The contact person must be authorised to represent the customer in all matters concerning the service agreement. Any change of contact person must be notified in writing without delay.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-y75H2\" data-uniq-id=\"twDze\" data-generated-css=\"brz-css-jCTpM\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hK4Mt\" data-uniq-id=\"dWepB\" data-generated-css=\"brz-css-tYCDI\"><span style=\"background-color: transparent;\">The customer undertakes to order the service line and modem according to Miracle Q-Inspect A\/S\u2019 specifications. The service line must not be used for any other purpose.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-dYhtR\" data-uniq-id=\"pH6WX\" data-generated-css=\"brz-css-eQ6Ah\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-j6VVS\" data-uniq-id=\"s5ihY\" data-generated-css=\"brz-css-pVHHe\"><span style=\"background-color: transparent;\">The customer shall bear all related costs for the establishment and operation of the service line.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-gDmbz\" data-uniq-id=\"et0uy\" data-generated-css=\"brz-css-aYVOc\"><span style=\"background-color: transparent;\"> <\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-olknZ\" data-uniq-id=\"cTj5W\" data-generated-css=\"brz-css-forbD\"><strong style=\"background-color: transparent;\">3.4 Payments&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-l7NBi\" data-uniq-id=\"m7yQg\" data-generated-css=\"brz-css-s2KKi\"><span style=\"background-color: transparent;\">Payment for the service comprises payment for access to the service for the selected service form, during the selected Service Period for the Product covered by the Agreement. Installation of connection equipment, model changes etc. may cause changes in the payments. The service payment applicable at any time is adjusted annually by 5%, unless the annual change in the net price index measured in October is greater, in which case the change in the net price index is applied. Price adjustments take effect on 1 January of a calendar year, applying to all subscription periods commencing in that calendar year.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-inLTD\" data-uniq-id=\"r0i74\" data-generated-css=\"brz-css-hcx1n\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-diy_R\" data-uniq-id=\"bLe2w\" data-generated-css=\"brz-css-uzJQX\"><span style=\"background-color: transparent;\">In addition, Miracle Q-Inspect A\/S (regardless of any non-cancellability) shall at all times have the right to increase the agreed fee where this is due to increased external expenses associated with the performance of Miracle Q-Inspect A\/S\u2019 obligations, including increased taxes or duties. Miracle Q-Inspect A\/S is solely entitled to remuneration in addition to the service fee to the extent that this is stated in the service agreement or these general terms and conditions.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-iOgrn\" data-uniq-id=\"fe8At\" data-generated-css=\"brz-css-uetfZ\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-yIe2Q\" data-uniq-id=\"dqg3t\" data-generated-css=\"brz-css-jyAqs\"><span style=\"background-color: transparent;\">Where nothing else is apparent, the service payment includes Miracle Q-Inspect A\/S\u2019 expenses for labour, travel and necessary spare parts associated with maintenance\/fault correction to the extent this is apparent from the service agreement or these general terms and conditions.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-rrP3A\" data-uniq-id=\"cslsw\" data-generated-css=\"brz-css-esSqp\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-mqHj0\" data-uniq-id=\"rKDFE\" data-generated-css=\"brz-css-mIqIS\"><span style=\"background-color: transparent;\">Should the scope of the service agreement be altered in connection with extensions or reductions of both Products and functions, Miracle Q-Inspect A\/S may make adjustments to the service payment.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hFCls\" data-uniq-id=\"jKidw\" data-generated-css=\"brz-css-t_K_v\"><\/p>\n<p class=\"ql-align-justify brz-tp-lg-paragraph brz-css-rnikv\" data-uniq-id=\"qImg9\" data-generated-css=\"brz-css-wOH3o\"><span style=\"background-color: transparent;\">Payments and payment periods are stated in the service agreement. Payment for service is invoiced and paid quarterly in advance. Any remuneration to which Miracle Q-Inspect A\/S may otherwise be entitled shall be paid by the customer upon invoice within 30 days of the invoice date.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-iUFHE\" data-uniq-id=\"glVkj\" data-generated-css=\"brz-css-m6cwk\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-swQnp\" data-uniq-id=\"sOL3p\" data-generated-css=\"brz-css-fPNYg\"><span style=\"background-color: transparent;\">Service, materials, machinery, program operation, and other items not covered by the Agreement shall be invoiced in accordance with Miracle Q-Inspect A\/S\u2019 current prices.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qbw7q\" data-uniq-id=\"ptcvg\" data-generated-css=\"brz-css-mCqYd\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-y9FoL\" data-uniq-id=\"kmN6i\" data-generated-css=\"brz-css-exRUP\"><span style=\"background-color: transparent;\">In the event of late payment, Miracle Q-Inspect A\/S is entitled to interest on the outstanding amount at a rate of 1.5%% per commenced month, and Miracle Q-Inspect A\/S may also charge fees for demand for payment and payment reminders.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-iPBsL\" data-uniq-id=\"zy1ZZ\" data-generated-css=\"brz-css-kh1y0\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-h_djA\" data-uniq-id=\"tkabb\" data-generated-css=\"brz-css-tm8WB\"><strong style=\"background-color: transparent;\">3.5 Service hours&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-l7EYH\" data-uniq-id=\"l0Hkx\" data-generated-css=\"brz-css-hLkNW\"><span style=\"background-color: transparent;\">Miracle Q-Inspect A\/S provides service within the agreed Service Hours. If the customer receives service outside of these Service Hours by agreement with Miracle Q-Inspect A\/S, the time will be invoiced at Miracle Q-Inspect A\/S\u2019 prevailing hourly rate at any time.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-d0gbS\" data-uniq-id=\"oXXex\" data-generated-css=\"brz-css-e4y5V\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-dKpAf\" data-uniq-id=\"gkofP\" data-generated-css=\"brz-css-f73jf\"><strong style=\"background-color: transparent;\">3.6 Termination (breach)&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-tH3Iq\" data-uniq-id=\"p6cJY\" data-generated-css=\"brz-css-bdwwi\"><span style=\"background-color: transparent;\">Either party is entitled to terminate the Agreement in the event that the other party materially breaches the Agreement. If the customer rightfully terminates the Agreement, the customer is only entitled to a pro-rata refund of the service payment made relating to the period after termination.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-jw3cx\" data-uniq-id=\"y1CNV\" data-generated-css=\"brz-css-eKfW9\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-eIT1y\" data-uniq-id=\"trqdm\" data-generated-css=\"brz-css-x78S2\"><span style=\"background-color: transparent;\">If Miracle Q-Inspect A\/S's opportunities for defect remediation are made difficult or hindered by circumstances at the customer's premises, such hindrances shall be considered as creditor default. Miracle Q-Inspect A\/S's opportunities for normal defect remediation may be conditional on the Plant being upgraded. If the Agreement does not include an upgrade, the customer shall pay for it. If the customer does not wish to have the Plant upgraded, Miracle Q-Inspect A\/S may, at its own discretion, terminate the Agreement or claim payment for increased expenses.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-cH4cn\" data-uniq-id=\"hx_rn\" data-generated-css=\"brz-css-vcqv0\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qEfDc\" data-uniq-id=\"qoayF\" data-generated-css=\"brz-css-cSsYu\"><strong style=\"background-color: transparent;\">3.7 Duration and termination&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-uAckM\" data-uniq-id=\"d8zqq\" data-generated-css=\"brz-css-bakUj\"><span style=\"background-color: transparent;\">The Agreement entered into between Miracle Q-Inspect A\/S and the customer takes effect at the time agreed between the parties. The Agreement is valid until it is terminated in writing by either party in accordance with the agreed notice periods for termination.&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-vdRDO\" data-uniq-id=\"pTiRU\" data-generated-css=\"brz-css-gApdS\"><span style=\"background-color: transparent;\">Where no notice period has been agreed, the Agreement entered into may be terminated with three months' prior written notice at the end of a quarter. Such copies are subject to the Agreement.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-cddQS\" data-uniq-id=\"qaCqH\" data-generated-css=\"brz-css-wvH21\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-f5HF1\" data-uniq-id=\"stytT\" data-generated-css=\"brz-css-lwMoJ\"><span style=\"background-color: transparent;\">A licence does not grant the right to otherwise reproduce or translate the Programme, including reverse engineering.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-pKGpn\" data-uniq-id=\"n8DeU\" data-generated-css=\"brz-css-dXa7d\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-l8p2m\" data-uniq-id=\"bSCy5\" data-generated-css=\"brz-css-saxvU\"><span style=\"background-color: transparent;\">For certain programmes, Miracle Q-Inspect A\/S may set a usage restriction. All use beyond this restriction requires a separate licence and\/or additional payment.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-qrQAb\" data-uniq-id=\"nqaoL\" data-generated-css=\"brz-css-m7HSW\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-hqTtB\" data-uniq-id=\"kbfS2\" data-generated-css=\"brz-css-tnacg\"><span style=\"background-color: transparent;\">A separate licence is required for each Machine on which the Software is to run. The Customer may replace the Machine on which the Software is running, provided written confirmation from Miracle Q-Inspect A\/S and the Customer's acceptance of any fee change.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-jYpsf\" data-uniq-id=\"hCwVi\" data-generated-css=\"brz-css-rKkJa\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-lDW5a\" data-uniq-id=\"o945F\" data-generated-css=\"brz-css-t_elX\"><span style=\"background-color: transparent;\">Programme materials, as provided in printed form by Miracle Q-Inspect A\/S, must not be copied.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-q8Z8k\" data-uniq-id=\"vz4o9\" data-generated-css=\"brz-css-sOw_y\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-bEXae\" data-uniq-id=\"jtb6M\" data-generated-css=\"brz-css-hynZG\"><strong style=\"background-color: transparent;\">4.3 Fees and payment&nbsp;&nbsp;<\/strong><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-etwFn\" data-uniq-id=\"yOsuV\" data-generated-css=\"brz-css-dVGTL\"><span style=\"background-color: transparent;\">Charges for a Programme may be a one-off charge, an extension charge, a periodic charge, an initial charge, a production charge, a service charge, or a combination thereof. The charge type, payment period, and amount are specified in the Agreement.&nbsp;&nbsp;<\/span><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-toXo2\" data-uniq-id=\"hQRso\" data-generated-css=\"brz-css-m8ken\"><\/p>\n<p class=\"brz-tp-lg-paragraph brz-css-kU_Pa\" data-uniq-id=\"wKFr9\" data-generated-css=\"brz-css-uYNnp\"><span style=\"background-color: transparent;\">Payment is due as stated on the invoice. An increase takes effect from and including the first payment period after the increase has taken effect.
